Important: These terms are the current BigEquipCo launch draft and should receive final legal review before broad public launch.
1. BigEquipCo marketplace
BigEquipCo provides an equipment marketplace, seller tools, dealer services, referral programs, media products and related services. Unless BigEquipCo expressly identifies itself as the seller of equipment, the equipment owner or dealer remains responsible for the equipment, its description, condition, availability, pricing, transaction terms and completion of the sale.
2. Accounts and seller information
You are responsible for providing accurate account, contact, equipment and billing information and for keeping your account secure. One account may own multiple listings and multiple subscriptions at the same time.
3. Single Seller listings
A Single Seller subscription applies to one specific equipment listing. It is not a reusable listing slot. A seller may maintain multiple Single Seller subscriptions at the same time. If that equipment is sold, removed or otherwise made inactive, the associated subscription may be scheduled not to renew at the end of its current paid term. A different piece of equipment requires a new posting or available reusable plan capacity.
4. Reusable listing plans and individual overages
Private Seller Bundle and dealer plans provide reusable active-listing capacity up to the quantity included in the selected plan. If an included listing becomes inactive, the reusable spot may be used for another piece of equipment.
You are not required to upgrade solely because you temporarily need more active listings than your reusable plan includes. Additional equipment may be purchased as individual Single Seller listings at the then-current individual listing price. BigEquipCo may recommend a larger plan when it would be more economical, but an upgrade requires your approval.
5. Automatic capacity rebalancing
If reusable capacity becomes available under an active bundle or dealer plan, BigEquipCo may automatically move an eligible individually billed active listing into that open reusable capacity. When this happens, the individual subscription associated with that listing is scheduled not to renew at the end of its current paid term. The reassignment does not create a prorated refund for the individual subscription.
6. Billing, renewals and ordinary cancellations
Recurring subscriptions and paid listings are billed in advance and renew automatically until canceled. Unless a cancellation is part of an approved upgrade or consolidation, cancellation is effective at the end of the current paid billing term. Access and applicable listing capacity remain available through that paid term. Payments already made for the current term are not prorated or refunded solely because a subscription, listing or account is scheduled for cancellation.
7. Upgrades, consolidation and prorated credits
When you affirmatively upgrade or consolidate existing paid marketplace subscriptions into a higher-capacity BigEquipCo plan, BigEquipCo may apply eligible unused prepaid value from replaced subscriptions as a prorated credit toward the new plan. The amount shown during the approved upgrade flow controls the transaction. Ordinary cancellations and automatic capacity rebalancing are not treated as upgrade credits.
8. Listing status and availability
Sellers are responsible for keeping listing status current. Equipment may be shown as available, sale pending, sold, paused or removed. BigEquipCo may pause or remove listings when the paid subscription or reusable capacity supporting them ends.
9. BigEquipCo Direct Inventory Program
The Direct Inventory Program is optional and applies only when a seller affirmatively enrolls a listing and accepts the program terms presented for that listing. BigEquipCo may market enrolled equipment and refer buyers. If a buyer referred directly by BigEquipCo completes the purchase, the seller agrees to pay the referral commission stated at enrollment, currently 4% of the final sale amount for the equipment. No referral commission is due solely because equipment is listed on BigEquipCo when the buyer was independently sourced and was not referred by BigEquipCo.
BigEquipCo may maintain referral records, seller notices, lead activity and sale status information to document referral attribution and commission obligations.
10. Dealer websites
Dealer Website products may display inventory from the same BigEquipCo listing records used by the marketplace. Changes to equipment status, price and listing content may therefore update across connected properties. Dealer Website fees, setup charges, prepaid commitments and renewal terms are governed by the plan purchased at checkout.
11. Communications
Transactional communications related to accounts, listings, billing, referrals, buyer inquiries and service operations may be sent as necessary to provide the service. Marketing communications are subject to the communication preferences and consent choices associated with your account and applicable law.
12. Prohibited conduct
You may not use BigEquipCo for fraudulent listings, deceptive equipment descriptions, unlawful transactions, unauthorized access, abusive communications, payment circumvention intended to defeat an agreed BigEquipCo referral fee, or other activity that harms users or the platform.
13. Changes to services and terms
BigEquipCo may update products, pricing and these Terms prospectively. Material changes will be presented or communicated as appropriate. Continued use after an updated agreement becomes effective may require acceptance of the new version.
